Legal Counsel - Sportswear

A leading sportswear company is seeking legal counsel to join their expanding team.

Key responsibilities:

  • Assist in executing outbound M&A transactions, including conducting due diligence, structuring deals, and providing negotiation support.
  • Draft, review, and negotiate various transaction documents, such as share purchase agreements, shareholders’ agreements, joint venture agreements, confidentiality agreements, term sheets, and any ancillary agreements as necessary.
  • Collaborate with internal stakeholders, external advisors, and counterparties to ensure smooth transaction processes.
  • Conduct legal research on cross-border M&A, regulatory requirements, and industry best practices.
  • Draft, review, and negotiate a range of commercial agreements, including supplier agreements, partnership agreements, and service agreements.
  • Maintain corporate documentation and assist with board resolutions, annual filings, and general meetings.
  • Manage and coordinate with external legal counsel as needed.

Requirements:

  • Bachelor's degree in Law; qualification to practice in Hong Kong or the US is preferred.
  • 3-5 years of relevant post-qualification experience (PQE) in M&A, corporate, or commercial law, ideally acquired in an international law firm or an in-house legal team within a multinational corporation.
  • Strong drafting, negotiation, and communication skills in both English and Chinese (Cantonese or Mandarin).
  • Detail-oriented, proactive, and capable of managing multiple projects simultaneously.
  • Excellent interpersonal skills and the ability to work collaboratively across functions and with external parties in a fast-paced environment.
  • Experience with cross-border transactions and international regulatory frameworks.
  • Familiarity with data protection, intellectual property, and competition law issues.
