Legal Counsel (DCM, structured products)

An international financial institution is looking for a legal counsel to join their team.

Key Responsibilities:

  • Provide comprehensive legal support for the Structured Finance/Structured Products and Debt Capital Markets teams, including identifying and addressing legal issues, conducting legal research, offering legal advice, and reviewing or drafting documents.
  • Draft and review complex transaction structures and documentation related to DCM and structured finance/products.
  • Act as the primary legal contact, liaising with external legal counsel and assisting deal teams from a legal perspective.
  • Support deal teams in bond issues and the development of new debt products.
  • Offer similar legal support to other business areas, such as Equity Capital Markets, as needed.
  • Handle ad hoc legal matters.

Requirements:

  • Qualified lawyer in HK, UK, US, or other common law jurisdictions with a minimum of 4 years of PQE in structured finance, structured products, or debt capital markets at major international law firms or relevant in-house legal teams within financial institutions.
  • Proven legal experience in international structured notes, derivatives, and debt capital market bond issues, representing issuers, dealers, and/or underwriters.
  • Strong knowledge of HK local regulations as well as other Asia, UK, European, and US regulations.
  • Proficient in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) and other document processing tools.
  • High proficiency in both English and Mandarin Chinese.
  • Detail-oriented, responsive, self-motivated, independent, and proactive, with a commercial mindset.
  • Excellent multi-tasking and time management skills, capable of prioritizing tasks and meeting deadlines in a fast-paced environment.
  • Strong sense of risk management, responsibility, and accountability, with the ability to solve problems independently with minimal supervision.
