Independent Non-Executive Director (INED) | Pre-IPO Opportunity

A well-established business with international operations and ambitious growth plans is seeking an experienced Independent Non-Executive Director (INED) to join its Board, as part of its corporate governance enhancement and long-term IPO preparation strategy.

Key responsibilities:

• Provide independent strategic advice and oversight to the Board
• Support the strengthening of the company’s corporate governance and risk management frameworks
• Contribute to Board and committee discussions, ensuring compliance with regulatory and governance standards
• Offer guidance on business growth, financial performance, and stakeholder management
• Support the company’s long-term preparations for a potential listing on the Hong Kong Stock Exchange
• Act in the best interests of shareholders and the business while maintaining independence

Candidate profile:

• Previous experience as an INED, Board Director, Audit Committee Member, or senior executive
• Strong background in finance, corporate governance, compliance, risk management, law, banking, financial services, or a related field
• Listed company and/or IPO experience highly preferred
• Familiarity with HKEX Listing Rules and corporate governance best practices is advantageous
• Professional qualifications such as CPA, CFA, HKCGI, legal qualifications, or equivalent credentials would be an asset
• Strong commercial judgement, integrity, and the ability to provide independent perspectives
