Our client is a Hong Kong-based private equity firm known for its strong track record in growth investments across various sectors. The team works in a dynamic and collaborative environment, leveraging profound industry expertise alongside disciplined investment strategies.

Reporting to the General Counsel, the Legal Counsel will play a key role in supporting the firm's legal, corporate, and regulatory functions across its fund and portfolio operations. This position is ideal for a mid-level lawyer seeking to expand their experience in a dynamic, fast-paced investment setting.

Key Responsibilities:

  • Provide advice on fund formation, structuring, and governance issues.
  • Draft, review, and negotiate fund documents, investor agreements, and transactional contracts.
  • Provide general legal advice and support to internal stakeholders.
  • Oversee corporate secretarial and compliance matters for the firm and its affiliates.
  • Mentor and train a junior colleague on company secretarial practices and procedures.
  • Assist with ad hoc legal projects and contribute to the development of internal policies and best practices.

Requirements:

  • Bachelor's degree or higher; a law degree is preferred. A strong academic background from a top-tier institution is advantageous.
  • Qualified lawyer with 5-8 years of post-qualification experience, possessing solid exposure to private equity (upstream) matters, including fund formation and structuring; M&A experience would be a plus.
  • Excellent command of English with strong drafting skills.
  • Proactive, adaptable, and collaborative mindset.
