What you'll do:
As a Company Secretary Manager, your role will be pivotal in providing support services for the Board. You will implement company secretarial processes and systems that help ensure good management of the organisation or compliance with legislation. Your responsibilities will include managing a team while performing a full spectrum of company secretarial duties. You will prepare annual/interim reports, organise board meetings, handle corporate transactions, monitor compliance with relevant laws and regulations, maintain company records, and liaise with professional advisors.
* Manage the team and perform full spectrum of company secretarial duties, corporate governance and compliance functions
* Prepare annual/interim reports, announcements and circulars
* Organise board meetings, board committee meetings and shareholders' meetings
* Handle corporate transactions and ad hoc projects
* Monitor compliance with the Listing Rules, REIT Code, SFO, applicable laws and regulations
* Implement compliance procedures as required
* Maintain and update company secretarial records, registers and statutory filings

The ideal candidate for this Company Secretary Manager position brings a wealth of experience in company secretarial roles within sizable professional firms or listed companies. With at least 10 years of experience under your belt, you are well-versed in Hong Kong Listing Rules, Securities and Futures Ordinance, Companies Ordinance. Your excellent interpersonal skills enable you to liaise effectively with professional advisors and various regulatory bodies. Your strong command of both English and Chinese is essential for this role.
* Degree holder in relevant disciplines and Associate Member of HKCGI/CGI
* At least 10 years of company secretarial experience gained from sizable professional firms or listed companies
* Well-versed in Hong Kong Listing Rules, Securities and Futures Ordinance and Companies Ordinance
* Experience in handling compliance matters with the Securities and Futures Commission is an advantage
* Good interpersonal and communication skills
* Excellent command of written and spoken English and Chinese
