Job Description
• Our client is a leading FMCG company with business across the Asia Pacific region. They are currently hiring a Legal Counsel role who specialises in M&A to cope with their business development activities in APAC Region.
Description
• Reports to the General Counsel
• Advising on mergers, acquisitions, disposals, restructurings, flotations, takeovers, buy-ins, buyouts for the APAC business
• Carry out research on legal issues and provide support on regulatory/legal developments and provide assistance throughout where needed;
• Engaging in the drafting, negotiating and reviewing of a wide variety of corporate contracts, including share purchase agreements, ancillary documents, disclosure letters, engagement letters, confidentiality agreements, offering memoranda, shareholders agreements, and joint venture agreements.
• Providing guidance and support on various corporate policies and corporate governance matters
Requirement
• A corporate lawyer qualified in Hong Kong with 5+ years of PQE
• Solid experience in M&A with APAC exposure
• In-house legal experience is preferred
• Good project and people management skills
• Proficiency in written and spoken English and Chinese
