VP - Legal (Derivatives)

Description

• Support the equity derivatives structuring and sales teams and the funds distribution business across Asia Pacific
• Accountable for drafting, negotiating and advising on the product documentation (including but not limited to product termsheets, confirmations, index license agreements and distribution agreements).
• Accountable for development and maintenance of essential legal documentation including key templates used by the business and the automation of the same.
• Accountable for advising on the distribution arrangement of structured products in APAC with different distribution channels and drafting, negotiating and advising on its underlying documentation.
• Accountable for managing external counsel in jurisdictions across the region.
• Jointly accountable for review and risk analysis of new products and business proposals. Keep abreast of new regulations and market practices, e.g., ESG risks and US tax issues.
• Negotiating directly with external counterparties to ensure that the interests of the Group are addressed in the substance of legally binding arrangements. Policies and commercial incentives will need to be balanced and appropriate stakeholders will need to be identified and engaged in the decision making process in order for such negotiations to be successful.
• Develop and maintain effective working relationships with advisors at external law firms. Cost management is an important part of this role and the individual should have some demonstrable experience managing cost approval and cost management processes in the context of a panel law firm framework.
• Attending internal working groups and external industry groups such as ISDA.

Requirement

• Solid level of technical, analytical skill required to identify and distinguish a broad variety of risk issues in a live transactional environment.
• Manage different stakeholder preferences and the ability to communicate and articulate clearly the different legal issues to various stakeholders.
• Qualified English law solicitor/attorney (or equivalent common law jurisdiction) with experience in Equities and derivatives, distribution of structured products and/or regulatory advisory related work in a top tier international financial institution or law firm.
• Experience with ISDA documentation and various ISDA product definitions as well as programme documentation for structured note issuance.
